Establece Marco Para la Inversión Extranjera Directa en Chile y Crea la Institucionalidad Respectiva

Teniendo presente que el H. Congreso Nacional ha dado su aprobación al siguiente

Proyecto de ley:

Título Preliminar. Ámbito de aplicación

Artículo 1

Las disposiciones de esta ley serán aplicables a los inversionistas extranjeros que efectúen inversiones conforme a las definiciones y requisitos que se establecen en los artículos siguientes.

Título I. Definiciones y régimen aplicable a la inversión extranjera directa

Párrafo 1. Definiciones

Artículo 2

Para efectos de lo dispuesto en el párrafo 2° de este Título, se entenderá por inversión extranjera directa, la transferencia al país de capitales extranjeros o activos de propiedad de un inversionista extranjero o controlado por éste, por un monto igual o superior a cinco millones de dólares de los Estados Unidos de Norteamérica o su equivalente en otras monedas, que se efectúe a través de moneda extranjera de libre convertibilidad, bienes físicos en todas sus formas o estados, reinversión de utilidades, capitalización de créditos, tecnología en sus diversas formas susceptible de ser capitalizada, o créditos asociados a la inversión extranjera proveniente de empresas relacionadas.

Asimismo, se considerará inversión extranjera directa aquella que, dentro de los montos a que se refiere el inciso anterior, se transfiera al país y se materialice a través de la adquisición o participación respecto del patrimonio de la empresa o en el capital de la sociedad receptora de la inversión, constituida en Chile conforme a la ley chilena, en forma directa o indirecta, que le otorgue control de, al menos, el 10% del derecho a voto de las acciones de la sociedad, o de un porcentaje equivalente de participación en el capital social si no se tratare de una sociedad por acciones o en el patrimonio de la empresa de que se trate.

Artículo 3

Para efectos de esta ley se entenderá por inversionista extranjero a toda persona natural o jurídica constituida en el extranjero, no residente ni domiciliada en Chile, que transfiera capitales a Chile, en los términos del artículo anterior.

Artículo 4

Aquel que, de conformidad al artículo anterior, califique como inversionista extranjero, podrá solicitar un certificado emitido por la Agencia de Promoción de la Inversión Extranjera, el que tendrá por única finalidad habilitar el acceso al régimen establecido en el párrafo 2° de este Título.

La solicitud que para estos efectos presente el inversionista extranjero deberá acreditar la materialización de la inversión en el país, así como contener una descripción detallada de la misma, incluyendo su monto, destino y naturaleza, todo ello en la forma y condiciones que determine la referida Agencia.

La Agencia de Promoción de la Inversión Extranjera deberá emitir el certificado a que se refiere este artículo en el plazo de quince días contado desde la fecha de recepción de la solicitud presentada por el inversionista extranjero. De no cumplirse dicho plazo, se estará a lo dispuesto en la ley N° 19.880, sobre Bases de los Procedimientos Administrativos que Rigen los Actos de los Órganos de la Administración del Estado.

El certificado deberá contener todos los detalles que permitan la individualización del inversionista extranjero y de la inversión realizada hasta la fecha de su emisión.

Párrafo 2. Régimen aplicable a la inversión extranjera directa

Artículo 5

El inversionista extranjero tendrá derecho a remesar al exterior el capital transferido y las utilidades líquidas que sus inversiones generen, una vez cumplidas todas las obligaciones tributarias que correspondan de acuerdo a la normativa nacional.

Artículo 6

El inversionista extranjero tendrá derecho a acceder al mercado cambiario formal para liquidar las divisas constitutivas de su inversión.

De igual forma, tendrá acceso al mercado cambiario formal para obtener las divisas necesarias para remesar el capital invertido o las utilidades líquidas obtenidas correspondientes a su inversión una vez cumplidas todas las obligaciones tributarias que correspondan de acuerdo a la normativa nacional.

El tipo de cambio aplicable para la liquidación u obtención de las divisas en el mercado cambiario formal será el que libremente acuerden las partes intervinientes.

Artículo 7

Las operaciones de cambios internacionales a que den lugar las inversiones efectuadas de conformidad con esta ley, quedarán sujetas a las potestades del Banco Central de Chile, de acuerdo a lo establecido en su ley orgánica constitucional y otras leyes especiales.

Artículo 8

Los inversionistas extranjeros estarán exentos del impuesto sobre las ventas y servicios en la importación de bienes de capital, en la medida que ésta cumpla los requisitos y se sujete a los procedimientos que para estos efectos se establecen en el artículo 12°, letra B, N° 10, del decreto ley N° 825, de 1974.

Artículo 9

Los inversionistas extranjeros se sujetarán al régimen jurídico común aplicable a los inversionistas nacionales, sin que pueda discriminarse arbitrariamente respecto de ellos, sea de manera directa o indirecta.

Título II. De la estrategia de fomento y promoción de inversión extranjera

Artículo 10

El Presidente de la República establecerá una estrategia de fomento y promoción de la inversión extranjera, en adelante "la estrategia de fomento".

La estrategia de fomento deberá abarcar, al menos, las siguientes áreas:

  1. Promoción de inversión extranjera, en especial de sectores o negocios que tengan mayor potencial de desarrollo en Chile.
  1. Acciones de posicionamiento de nuestro país a nivel internacional en cuanto a sus recursos y competitividad.
  1. Facilitación de la colaboración entre inversionistas extranjeros y empresas nacionales para el desarrollo y ampliación de actividades productivas en el país.
  1. Posicionamiento de nuestro país como centro de negocios e inversiones internacionales y plataforma global de acceso a otros mercados.
  1. Promoción y facilitación de las actividades económicas y empresariales de la inversión extranjera en Chile.

La estrategia de fomento deberá incluir un diagnóstico de la posición de competitividad internacional del país, una evaluación de la capacidad de la economía para agregar valor en la producción de bienes y servicios a través de la promoción de inversión extranjera, el establecimiento de sus objetivos, las brechas detectadas, y la definición de un conjunto de recomendaciones que considere líneas de acción y metas de mediano y largo plazo.

Artículo 11

El Presidente de la República establecerá la estrategia de fomento por medio de un decreto supremo expedido a través del Ministerio de Economía, Fomento y Turismo, el cual será suscrito, además, por los ministros de Hacienda y demás que integren de manera permanente el Comité de Ministros para el Fomento y Promoción de la Inversión Extranjera a que se refiere el artículo siguiente.

Título III. Del comité de ministros para el fomento y promoción de la inversión extranjera

Artículo 12

Créase el Comité de Ministros para el Fomento y Promoción de la Inversión Extranjera, en adelante "el Comité de Ministros", que tendrá por objeto asesorar al Presidente de la República en las materias vinculadas al fomento y promoción de la inversión extranjera.

En el cumplimiento de su objeto, tendrá las siguientes funciones y atribuciones:

1. Proponer al Presidente de la República la estrategia de fomento y promoción de la inversión extranjera.

2. Definir, conforme a lo propuesto por la Agencia de Promoción de la Inversión Extranjera, los planes, programas y prioridades destinados a la implementación de la estrategia de fomento y promoción de la inversión extranjera.

3. Velar por la debida coherencia entre la estrategia de fomento y las medidas y acciones implementadas por la Agencia de Promoción de la Inversión Extranjera.

4. Velar por la coordinación de los distintos órganos del Estado vinculados a la implementación de la estrategia de fomento.

En el ejercicio de esta facultad, podrá encomendar a la Agencia de Promoción de la Inversión Extranjera para que coordine las acciones de promoción y atracción de inversión extranjera que realicen los gobiernos regionales.

5. Evaluar la implementación de la estrategia de fomento y del resto de los planes y programas vinculados a la promoción y fomento de la inversión extranjera.

Artículo 13

El Comité de Ministros será presidido por el Ministro de Economía, Fomento y Turismo. Estará integrado por el Ministro de Hacienda y los demás Ministros que con carácter permanente determine el Presidente de la República mediante decreto supremo.

El Presidente del Comité podrá solicitar la participación de autoridades o funcionarios de la Administración del Estado que estime pertinentes, en función de las materias por tratar.

Los ministros sólo podrán ser reemplazados por los subsecretarios o sus subrogantes legales.

El Comité de Ministros sesionará al menos dos veces al año y cuando lo convoque su presidente con a lo menos quince días de anticipación. En su primera sesión determinará las normas para su funcionamiento.

El quórum para sesionar será de tres miembros y los acuerdos se adoptarán por mayoría absoluta de los asistentes. En caso de empate, decidirá el voto del ministro presidente o quien lo reemplace.

A las sesiones del Comité de Ministros deberá asistir el Director de la Agencia de Promoción de la Inversión Extranjera, quien tendrá derecho a voz y actuará como secretario ejecutivo del Comité de Ministros. En esta calidad deberá elaborar las actas de las sesiones; llevará registro de ellas, de los acuerdos y de las resoluciones dictadas y cumplirá además las funciones que el Comité le encomiende en el ejercicio de sus atribuciones.

Artículo 14

El Comité de Ministros podrá solicitar a la Agencia de Promoción de Inversión Extranjera, la contratación o realización de estudios, análisis o evaluaciones para el cumplimiento de sus funciones, como los siguientes:

  1. Estudios que permitan identificar factores que puedan impactar o estén impactando el perfil competitivo del país.
  1. Evaluaciones periódicas de la estrategia de fomento y promoción de la inversión extranjera.
  1. Diagnósticos y evaluaciones del impacto de los programas y las acciones realizadas en el marco de la estrategia de fomento y promoción de la inversión extranjera.

Título IV

Párrafo 1. De la Agencia de Promoción de la Inversión Extranjera

Artículo 15

Créase la Agencia de Promoción de la Inversión Extranjera, en adelante "la Agencia", como servicio público descentralizado, con personalidad jurídica y patrimonio propio, domiciliado en la ciudad de Santiago y que se relacionará con el Presidente de la República por intermedio del Ministerio de Economía, Fomento y Turismo.

La Agencia estará sujeta al Sistema de Alta Dirección Pública, establecido en el Título VI de la ley N° 19.882.

La Agencia deberá promover y atraer el ingreso de todo tipo de capitales e inversiones del exterior, sin importar su monto, conforme a las facultades y atribuciones señaladas en esta ley. En el ejercicio de éstas deberá establecer las instancias de coordinación que le encomiende el Comité de Ministros y que sean necesarias para implementar la estrategia de fomento, velando por la coherencia de las acciones de promoción y atracción de las inversiones que realicen los gobiernos regionales.

Para todos los efectos legales, la Agencia se constituirá como la sucesora y continuadora legal del Comité de Inversiones Extranjeras creado en virtud de lo dispuesto en el Título III, del decreto con fuerza de ley Nº 523, de 1993, del Ministerio de Economía, Fomento y Reconstrucción, que fija el texto refundido, coordinado y sistematizado del decreto ley N° 600, de 1974. En consecuencia, todas las menciones que la legislación general o especial haga a esa institución se entenderán referidas a la Agencia de Promoción de la Inversión Extranjera.

Artículo 16

A la Agencia corresponderá la promoción de la inversión extranjera hacia el país. Para el cumplimiento de dicho objetivo tendrá las siguientes funciones y atribuciones:

1. Implementar la estrategia de fomento, a través de medidas y acciones de promoción de la inversión extranjera en Chile. Estas acciones y medidas deberán ser evaluadas regularmente y aprobadas por el Comité de Ministros conforme a lo señalado en el artículo 12. En el marco de las medidas definidas por el Comité, la Agencia podrá:

a. Organizar misiones públicas o privadas de potenciales inversionistas extranjeros hacia Chile y participar en ellas, promoviendo las bondades de la inversión extranjera en Chile, así como gestionar y participar en rondas de negocios, ferias, seminarios, foros y misiones de promoción del país, para atraer inversión extranjera, las que podrán realizarse tanto dentro como fuera del país.

b. Brindar orientación e información a los potenciales inversionistas extranjeros sobre el mercado, la legislación y los incentivos aplicables a su inversión, así como informarlos de otros aspectos relevantes para su inversión.

c. Realizar actividades destinadas a retener y estimular la expansión y la reinversión de la inversión extranjera que se haya materializado en el país, con el fin de lograr mayor impacto económico local de la misma.

d. Colaborar con los inversionistas extranjeros en la generación de contactos y reuniones con entidades de Gobierno, gremios económicos, empresarios, proveedores, instituciones financieras, centros de investigación y otros actores que faciliten el ingreso de la inversión extranjera a Chile.

e. Constituir un Consejo Asesor Consultivo conformado por representantes de los sectores público y privado, que tendrá por misión asesorar al Director en la definición de objetivos de mediano y largo plazo, así como evaluar las actividades, las iniciativas y los esfuerzos desplegados por la Agencia.

El Consejo Asesor Consultivo deberá considerar la participación permanente de un representante de la Subsecretaría de Desarrollo Regional. Igualmente, considerará la participación del Presidente del Gobierno Regional respectivo en las sesiones en que se analicen actividades, iniciativas o esfuerzos vinculados a la región correspondiente.

f. Promover a Chile como destino de inversión.

g. Toda otra actividad que contribuya a la promoción de la inversión extranjera en Chile.

2. Actuar como órgano administrativo del Comité de Ministros, para lo cual recibirá y analizará las presentaciones que se le hagan, generará los antecedentes y estudios que requiera y desarrollará toda otra función de carácter administrativo que determine el Comité.

3. Conocer de las solicitudes de certificación sobre la calidad de inversionista extranjero y emitir los certificados que corresponda conforme a lo establecido en el artículo 4º.

4. Proponer al Comité de Ministros la estrategia de fomento de la inversión extranjera.

5. Contribuir a crear un clima favorable para la inversión extranjera en Chile, en particular identificando obstáculos a la materialización de proyectos de inversión extranjera e informando de ellos a las autoridades competentes, con el fin de avanzar en su superación.

6. Recopilar, registrar y sistematizar información y estadísticas en materia de inversión extranjera. Con este objeto podrá requerir, tanto a organismos públicos como privados y a los propios inversionistas extranjeros, la información pertinente para el cumplimiento de esta función.

Con igual fin, la Agencia deberá utilizar las estadísticas macroeconómicas sobre inversión extranjera que compile y publique el Banco Central de Chile, para lo cual podrá suscribir con este organismo los convenios o acuerdos de colaboración que garanticen una adecuada y efectiva coordinación en este ámbito.

7. Informar anualmente al Comité de Ministros acerca de los avances en el cumplimiento de la estrategia de fomento.

Artículo 17

La dirección superior, técnica y administrativa de la Agencia estará a cargo del "Director", que será nombrado por el Presidente de la República conforme a las normas de Alta Dirección Pública contenidas en el Título VI de la ley N° 19.882.

El Director tendrá las siguientes facultades y atribuciones:

  1. Proponer al Comité de Ministros, para su aprobación, las medidas y acciones de promoción de la inversión extranjera que serán implementadas por la Agencia.
  1. Elaborar el informe a que se refiere el número 7 del artículo anterior.
  1. Cumplir y hacer cumplir los acuerdos e instrucciones del Comité de Ministros y llevar a cabo los actos y funciones que éste le delegue en el ejercicio de sus atribuciones.
  1. Nombrar a los miembros del Consejo Asesor Consultivo a que se refiere la letra e) del número 1 del artículo anterior, y determinar la forma en que se reunirá y sesionará.
  1. Designar y contratar personal y poner término a sus servicios de conformidad a las normas estatutarias respectivas.
  1. Celebrar convenios y ejecutar los actos necesarios para el cumplimiento de los fines de la Agencia.
  1. Adquirir, enajenar y administrar toda clase de bienes y ejecutar o celebrar cualquier acto o contrato tendiente directa o indirectamente al cumplimiento de su objeto y funciones, tanto en Chile como en el extranjero.
  1. Preparar el proyecto de presupuesto anual de la Agencia, ejecutar el que definitivamente se apruebe y proponer modificaciones que se requieran durante su ejecución.
  1. Delegar parte de sus funciones, facultades y atribuciones en funcionarios de la Agencia.
  1. Requerir de los organismos del Estado la información y antecedentes que estime necesarios y que guarden relación con sus respectivas esferas de competencia.
  1. Representar judicial y extrajudicialmente a la Agencia y conferir poder a abogados habilitados para el ejercicio de la profesión, aun cuando no sean funcionarios de ésta, con las facultades de ambos incisos del artículo 7º del Código de Procedimiento Civil.
  1. Ejercer las demás funciones o atribuciones que le confiera la ley.

Párrafo 2. Normas relativas al personal

Artículo 18

El personal de la Agencia estará afecto a las disposiciones de la ley Nº 18.834, sobre Estatuto Administrativo, cuyo texto refundido, coordinado y sistematizado fue fijado por el decreto con fuerza de ley Nº 29, de 2004, del Ministerio de Hacienda. En materia de remuneraciones, éstas se fijarán y modificarán conforme al procedimiento establecido en el artículo 9° del decreto ley N° 1.953, de 1977, del Ministerio de Hacienda.

Párrafo 3. Del patrimonio

Artículo 19

El patrimonio de la Agencia estará formado por:

  1. Los recursos que se le asignen anualmente en la ley de Presupuestos del Sector Público y en otras leyes generales o especiales.
  1. Los bienes muebles e inmuebles, corporales o incorporales, que se le transfieran o adquiera a cualquier título.
  1. Los aportes de la cooperación internacional que reciba para el cumplimiento de sus objetivos, a cualquier título.
  1. Las herencias y legados que acepte, lo que deberá hacer con beneficio de inventario. Dichas asignaciones estarán exentas de impuestos, gravámenes y de cualquier otro pago que les afecten.

Título V. Modificaciones de otros cuerpos normativos

Artículo 20

Reemplázase, a contar del 1 de enero de 2016 o de la entrada en vigencia de la presente ley si ocurriere en una fecha posterior, el número 10 de la letra B del artículo 12° del decreto ley N° 825, de 1974, por el siguiente:

"10.- Los inversionistas, sean estos establecidos, residentes o domiciliados en el país o aquellos que califiquen como inversionistas extranjeros y las empresas receptores de inversión extranjera, conforme a lo establecido en el artículo 3° de la ley marco para la inversión extranjera directa en Chile, respecto de los bienes de capital importados que destinen al desarrollo, exploración o explotación en Chile de proyectos mineros, industriales, forestales, de energía, de infraestructura, de telecomunicaciones, de investigación o desarrollo tecnológico, médico o científico, entre otros, que impliquen inversiones por un monto igual o superior a cinco millones de dólares de los Estados Unidos de Norteamérica.

La exención a que se refiere este número, se aplicará únicamente respecto de la importación de bienes de capital que se destinen a proyectos de inversión que, por sus características de desarrollo, generen ingresos afectos, no afectos o exentos del impuesto establecido en el Título II de esta ley transcurridos, al menos, doce meses contados desde la internación al país o adquisición en Chile de los primeros bienes de capital cuya exención de Impuesto al Valor Agregado se solicite.

Para el otorgamiento de la exención a que se refiere este número, el inversionista deberá presentar una solicitud ante el Ministerio de Hacienda, a fin de que éste verifique y certifique el correcto cumplimiento de los requisitos establecidos en este número. En el caso de los inversionistas extranjeros, deberán acompañar a esta solicitud el certificado de inversionista extranjero a que se refiere el artículo 4° de la ley marco para la inversión extranjera directa en Chile.

El Ministerio de Hacienda deberá pronunciarse respecto de la referida solicitud dentro del plazo de sesenta días corridos, contado desde la fecha en que se reciban todos los antecedentes necesarios para verificar el cumplimiento de los requisitos señalados. Si no lo hiciere al término de dicho plazo, la solicitud del contribuyente se entenderá aprobada y dicho Ministerio deberá, sin más trámite, proceder a la emisión de una resolución en que se otorgue el beneficio, dentro del plazo de cinco días hábiles contado desde la fecha en que venció el plazo de sesenta días mencionado.

En caso que se presente una nueva solicitud de exención respecto de bienes de capital destinados a proyectos que se realicen por etapas, o que tengan por objeto complementar o expandir un proyecto de inversión sobre el cual se haya otorgado la exención en una etapa inicial, bastará, para que el Ministerio de Hacienda extienda dicha exención a los nuevos bienes de capital, que se acompañe copia de la resolución que haya otorgado la exención original y los antecedentes que permitan acreditar que se trata de distintas etapas de un mismo proyecto o de proyectos complementarios o de expansión.

Facúltase al Ministerio de Hacienda para que, mediante decreto supremo, precise las características de los bienes de capital y proyecto de inversión a que se refiere el presente número, así como la forma y procedimiento en que deberán presentarse los antecedentes que deban acompañarse para efectuar el análisis de la solicitud de exención a que se refiere este numeral.

El Ministerio de Hacienda deberá enviar al Servicio de Impuestos Internos copia de la resolución que otorgue la exención y de los antecedentes presentados por el contribuyente, dentro del plazo de veinte días corridos contado desde la emisión de la referida resolución.

Cuando, en el ejercicio de sus facultades de fiscalización, el Servicio de Impuestos Internos determine que la exención ha sido otorgada sobre la base de documentos u otros antecedentes erróneos acompañados por el contribuyente, previa citación practicada conforme a lo dispuesto por el artículo 63 del Código Tributario, deberá liquidar el impuesto que hubiese correspondido aplicar de no haberse otorgado la exención, con los reajustes e intereses penales establecidos en el artículo 53 del mismo código. En este último caso, se podrán aplicar las sanciones establecidas en el número 20 de su artículo 97.

De la liquidación que se dicte, así como de la multa aplicada, el contribuyente podrá reclamar conforme al procedimiento general establecido en el Libro III del Código Tributario. El Impuesto al Valor Agregado que haya pagado el contribuyente con motivo de haberse dejado sin efecto la exención que establece este número, de cumplirse los requisitos generales que establece esta ley, constituirá crédito fiscal del Impuesto al Valor Agregado del período en que se lleve a cabo el pago.

Cuando el contribuyente haya obtenido maliciosamente la exención de que trata este número, mediante la presentación de documentos u otros antecedentes erróneos, incompletos o falsos, será sancionado en la forma prevista en el párrafo segundo del N°4 del artículo 97 del Código Tributario, sin perjuicio del pago del impuesto evadido, con los respectivos intereses penales y multas, el que, una vez pagado, no constituirá crédito fiscal del Impuesto al Valor Agregado."

Título VI. Otras disposiciones

Artículo 21

Los gobiernos regionales, con sus propios recursos, podrán organizar unidades de promoción y atracción de inversión extranjera.

Disposiciones transitorias

Artículo primero

Los inversionistas extranjeros y empresas receptoras de sus aportes que mantengan vigente un contrato de inversión extranjera suscrito con el Estado de Chile conforme a lo dispuesto en el decreto con fuerza de ley N° 523, de 1993, del Ministerio de Economía, Fomento y Reconstrucción, que fija el texto refundido, coordinado y sistematizado del decreto ley N° 600, de 1974, conservarán íntegramente los derechos y obligaciones contemplados en dichos contratos, en la medida que éstos hayan sido suscritos con anterioridad al 1 de enero de 2016 o a la fecha de entrada en vigencia de la presente ley si ésta ocurriere en una fecha posterior. De igual protección gozarán los contratos suscritos en virtud del artículo cuarto transitorio de la ley N° 20.469, siempre que se hayan celebrado dentro del plazo otorgado por dicha norma.

Para efectos de lo dispuesto en este artículo, una vez que entre en operación la Agencia de Promoción de la Inversión Extranjera, mantendrá todas las funciones que le correspondían a la Vicepresidencia Ejecutiva del Comité de Inversiones Extranjeras, según el artículo 15° del decreto con fuerza de ley señalado en el inciso anterior.

Artículo segundo

Sin perjuicio de lo dispuesto en el inciso segundo del artículo 9° de la ley N° 20.780, a contar del 1 de enero de 2016 o de la entrada en vigencia de la presente ley si ocurriere en una fecha posterior, y por un plazo máximo de cuatro años contado desde el primero de dichos eventos que acontezca, los inversionistas extranjeros, definidos en los términos del artículo 3° de esta ley, podrán solicitar autorizaciones de inversión extranjera en los términos del artículo 3° del decreto con fuerza de ley N° 523, de 1993, del Ministerio de Economía, Fomento y Reconstrucción, que fija el texto refundido, coordinado y sistematizado del decreto ley N° 600, de 1974. Dichas solicitudes deberán ser presentadas ante la Vicepresidencia Ejecutiva del Comité de Inversiones Extranjeras o ante su sucesor legal, en su caso. A dichas autoridades corresponderá, asimismo, celebrar los respectivos contratos en representación del Estado de Chile.

Los inversionistas extranjeros que ejercieren la opción a que se refiere el inciso anterior solo podrán celebrar los respectivos contratos en los mismos plazos a que se refiere dicho inciso. En virtud de ellos, se sujetarán a las exigencias, gozarán de los derechos y tendrán las obligaciones a que se refieren los artículos 2°, 7° y 11°ter del mencionado decreto ley.

Con todo, la tasa impositiva total a la renta a que estarán sujetos, en los términos del inciso primero del artículo 7° del decreto con fuerza de ley N° 523 de 1993, del Ministerio de Economía, Fomento y Reconstrucción, que fija el texto refundido, coordinado y sistematizado del decreto ley Nº 600, de 1974, y respecto a la cual gozarán de invariabilidad, será del 44,45% en todos los casos a que se refiere la citada disposición.

Sin perjuicio de lo dispuesto en los incisos anteriores, los inversionistas extranjeros podrán acceder al régimen aplicable a la inversión extranjera directa contemplado en el Párrafo 2° del Título I de esta ley.

Artículo tercero

Facúltase al Presidente de la República para que, dentro del plazo de un año contado desde la publicación de esta ley, establezca mediante uno o más decretos con fuerza de ley, expedidos a través del Ministerio de Economía, Fomento y Turismo, los que también deberán ser suscritos por el Ministro de Hacienda, las normas necesarias para regular las siguientes materias:

1. Fijar la planta de personal de la Agencia de Promoción de la Inversión Extranjera. En el ejercicio de esta facultad el Presidente de la República dictará las normas necesarias para la adecuada estructuración y funcionamiento de las plantas que fije y, en especial, podrá determinar las normas transitorias para la aplicación de las remuneraciones variables; el número de cargos para cada grado y planta; los requisitos para el ingreso y promoción de dichos cargos; sus denominaciones y los niveles jerárquicos, para efectos de la aplicación de lo dispuesto en el artículo 8º de la ley Nº 18.834, cuyo texto refundido, coordinado y sistematizado fue fijado por el decreto con fuerza de ley Nº 29, de 2004, del Ministerio de Hacienda, y en el Título VI de la ley N° 19.882. Además, establecerá las normas para el encasillamiento en las plantas, el cual podrá incluir a los funcionarios que se traspasen desde el Comité de Inversiones Extranjeras.

2. Disponer, sin solución de continuidad, el traspaso de los funcionarios titulares de planta y a contrata, desde el Comité de Inversiones Extranjeras a la Agencia de Promoción de la Inversión Extranjera. En el respectivo decreto con fuerza de ley que fije la planta de personal, se determinará la forma en que se realizará el traspaso y el número de funcionarios que serán traspasados por estamento y calidad jurídica, pudiéndose establecer, además, el plazo en que se llevará a cabo este proceso. La individualización del personal traspasado y su encasillamiento, cuando corresponda, se realizará a través de decretos expedidos bajo la fórmula "Por orden del Presidente de la República", por intermedio del Ministerio de Economía, Fomento y Turismo. El traspaso del personal titular de planta y a contrata, y de los cargos que sirven, se efectuará en el mismo grado que tenía a la fecha del traspaso.

3. Los requisitos para el desempeño de los cargos que se establezcan en el ejercicio de la facultad señalada en el número 1 de este artículo no serán exigibles para efectos del encasillamiento respecto de los funcionarios titulares en servicio a la fecha de entrada en vigencia del o de los respectivos decretos con fuerza de ley. Asimismo, a los funcionarios a contrata en servicio a la fecha de vigencia del o de los respectivos decretos con fuerza de ley, y a aquellos cuyos contratos se prorroguen en las mismas condiciones, no les serán exigibles los requisitos que se establezcan en los decretos con fuerza de ley correspondientes.

4. Determinar la fecha de entrada en vigencia de las modificaciones a que se refiere el número 1 de este artículo. Igualmente, determinará la fecha de inicio de actividades de la Agencia de Promoción de la Inversión Extranjera y fijará su dotación máxima.

5. Traspasar los recursos y bienes desde el Comité de Inversiones Extranjeras a la Agencia de Promoción de la Inversión Extranjera.

6. El uso de las facultades señaladas en este artículo quedará sujeto a las siguientes restricciones, respecto del personal al que afecte:

a. No podrá tener como consecuencia cambio de la residencia habitual de los funcionarios fuera de la región en que estén prestando servicios, salvo con su consentimiento.

b. No podrá tener como consecuencia ni ser considerado como causal de término de servicios, supresión de cargos, cese de funciones o término de la relación laboral del personal.

c. No podrá significar disminución de remuneraciones ni modificación de derechos previsionales. Cualquier diferencia de remuneraciones deberá ser pagada por planilla suplementaria, la que se absorberá por los futuros mejoramientos de remuneraciones que correspondan a los funcionarios, excepto los derivados de reajustes generales que se otorguen a los trabajadores del sector público. Dicha planilla mantendrá la misma imponibilidad de las remuneraciones que compensa. Además, a la planilla suplementaria se le aplicará el reajuste general antes indicado.

d. Los funcionarios encasillados y traspasados mantendrán la asignación de antigüedad que tengan reconocida, como también el tiempo computable para su reconocimiento.

Artículo cuarto

El Presidente de la República nombrará, transitoria y provisionalmente, conforme al artículo quincuagésimo noveno de la ley Nº 19.882, al Director de la Agencia de Promoción de la Inversión Extranjera, quien asumirá de inmediato y en tanto se efectúa el proceso de selección pertinente que establece la señalada ley para los cargos del Sistema de Alta Dirección Pública.

Artículo quinto

Mientras no sea dictada la resolución que fije las remuneraciones del personal de la Agencia de Promoción de la Inversión Extranjera, acorde a lo dispuesto en el artículo 18 de esta ley, mantendrá su vigencia aquella que se haya dictado en virtud de lo dispuesto en el artículo 9° del decreto ley N° 1.953, de 1977 para el Comité de Inversiones Extranjeras.

Artículo sexto

El Presidente de la República, por decreto expedido a través del Ministerio de Hacienda, conformará el primer presupuesto de la Agencia de Promoción de la Inversión Extranjera y transferirá a ella los fondos de la entidad que traspase personal o bienes, pudiendo al efecto crear, suprimir o modificar los capítulos, asignaciones, ítem, y glosas presupuestarias que sean pertinentes. Copia del referido decreto se remitirá a las Comisiones de Hacienda de la Cámara de Diputados y del Senado.

Artículo séptimo

El mayor gasto fiscal que irrogue la aplicación de esta ley durante el año presupuestario de su entrada en vigencia se financiará con cargo al presupuesto del Comité de Inversiones Extranjeras y, en lo que faltare, con cargo a los recursos de la partida presupuestaria Tesoro Público de la ley de Presupuestos del Sector Público.

Para los años posteriores, el mayor gasto se financiará con cargo a los recursos que se contemplen en las respectivas leyes de presupuestos para el sector público.".".

Establishes the Framework for Foreign Direct Investment in Chile and Creates the Corresponding Institutional Framework

Given that the Honorable National Congress has approved the following Bill:

Preliminary Title. Scope of application

Article 1

The terms of this law will be applicable to foreign investors who make investments in accordance with the definitions and requirements established in the following articles.

Title I. Definitions and regime applicable to foreign direct investment

Section 1. Definitions

Article 2

For the purposes of the terms of Section 2 of this Title, foreign direct investment will be understood as the transfer to the country of foreign capital or assets owned or controlled by a foreign investor for an amount of or more than five million US dollars or their equivalent in other currencies, carried out through freely convertible foreign currency, physical goods in all their forms or states, the reinvestment of profits, the capitalization of loans, technology in all its forms provided it may be capitalized or loans relating to the foreign investment from related companies.

In addition, foreign direct investment will be considered to include that which, within the amounts referred to in the preceding paragraph, is transferred to the country and materialized through the acquisition of, or partnership in, the ownership of the company or in the capital of the company receiving the investment, constituted in Chile in accordance with Chilean law, either directly or indirectly, that gives it control of at least 10% of the company's voting shares or an equivalent percentage of the share capital if it is not a stock company or in the net worth of the company in question.

Article 3

For the purposes of this law, a foreign investor will be understood to be any individual or legal entity constituted overseas, not resident or domiciled in Chile, that transfers capital to Chile in accordance with the terms of the previous Article.

Article 4

Those qualifying as a foreign investor in accordance with the previous Article may request a certificate, issued by the Foreign Investment Promotion Agency, which will have the sole purpose of providing access to the regime established in Section 2 of this Title.

The application that the foreign investor presents for this purpose must accredit materialization of the investment in the country and contain a detailed description of this investment, including its amount, purpose and nature, all in the form and terms determined by the said Agency.

The Foreign Investment Promotion Agency must issue the certificate referred to in this Article within fifteen days as from the date of receiving the application presented by the foreign investor. If it does not issue the certificate within this period, Law N° 19.880 on the Framework for Administrative Procedures that Govern the Acts of the Bodies of the State Administration will apply.

The certificate must contain all the details that permit identification of the foreign investor and the investment carried out up to the date of its issue.

Section 2. Regime applicable to foreign direct investment

Article 5

The foreign investor will have the right to remit overseas the capital transferred and the liquid profits that the foreign investor's investments generate, once having complied with all the tax obligations established under Chilean law.

Article 6

The foreign investor will have the right of access to the formal foreign exchange market to liquidate the currency that constitutes the investment.

Similarly, the foreign investor will have access to the formal foreign exchange market to obtain the currency required to remit the capital invested or the liquid profits corresponding to the investment, once having complied with all the tax obligations established under Chilean law.

The exchange rate applicable for liquidating or obtaining the currency in the formal foreign exchange market will be that freely agreed upon by the intervening parties.

Article 7

The foreign exchange operations arising from investments made in accordance with this law will be subject to the powers of the Central Bank of Chile in accordance with the terms of its constitutional organic law and other special laws.

Article 8

Foreign investors will be exempt from sales and service tax on the import of capital goods, providing this complies with the requirements and procedures established for these purposes in Article 12, Letter B, n° 10 of Decree Law N° 825 de 1974.

Article 9

Foreign investors will be subject to the common legal regime applicable to national investors and may not be subject to arbitrary discrimination with respect to these, either directly or indirectly.

Title II. Foreign investment development and promotion strategy

Article 10

The President of the Republic will establish a strategy for the development and promotion of foreign investment, referred to henceforward as the "promotion strategy".

The promotion strategy must address, at least, the following areas:

  1. Promotion of foreign investment, particularly in sectors or businesses that have more potential for development in Chile.
  1. Actions to position our country internationally as regards resources and competitiveness.
  1. Facilitation of collaboration between foreign investors and national companies for the development and expansion of productive activities in the country.
  1. Positioning of our country as an international business and investment center and global platform for accessing other markets.
  1. Promotion and facilitation of the economic and business activities of foreign investment in Chile.

The promotion strategy must include a diagnosis of the country's position as regards its international competitiveness, an evaluation of the economy's capacity to add value to the production of goods and services through the promotion of foreign investment, the definition of its objectives, the gaps detected and the definition of a set of recommendations that considers medium and long-term lines of action and goals.

Article 11

The President of the Republic will establish the promotion strategy in a supreme decree issued through the Ministry of Economy, Development and Tourism, which will also be signed by the Minister of Finance and the other Ministers who are permanent members of the Committee of Ministers for the Development and Promotion of Foreign Investment referred to in the following Article.

Title III. Committee of ministers for the development and promotion of foreign investment

Article 12

Create the Committee of Ministers for the Development and Promotion of Foreign Investment, henceforward "Committee of Ministers", whose purpose will be to advise the President of the Republic on matters related to the development and promotion of foreign investment.

In compliance with its purpose, it will have the following functions and powers:

1.Propose to the President of the Republic the strategy for the development and promotion of foreign investment.

2. Define, in accordance with the proposals of the Foreign Investment Promotion Agency, the plans, programs and priorities for the implementation of the strategy for the development and promotion of foreign investment.

3.Ensure proper consistency between the promotion strategy and the measures and actions implemented by the Foreign Investment Promotion Agency.

4.Ensure coordination among the different State bodies related to implementation of the promotion strategy.

In the exercise of this power, it may charge the Foreign Investment Promotion Agency with the coordination of the actions taken by regional governments to promote and attract foreign investment.

5.Evaluate the implementation of the promotion strategy and the other plans and programs related to the development and promotion of foreign investment.

Article 13

The Committee of Ministers will be chaired by the Minister of Economy, Development and Tourism and will include the Minister of Finance and all the other Ministers whom the President of the Republic appoints as its permanent members through a supreme decree.

The President of the Committee may request the participation of the authorities or civil servants of the State Administration that he deems relevant, depending on the matters to be addressed.

The Ministers may only be replaced by Undersecretaries or by their legal deputy.

The Committee of Ministers will meet at least twice a year and when convened by its president at least fifteen days before the date of the meeting. At its first meeting, it will define the norms for its functioning.

The quorum for meetings will be three members and agreements will be adopted by absolute majority of those present. In the case of a tie, the president of the Committee or his replacement will have the deciding vote.

Meetings of the Committee of Ministers must be attended by the Director of the Foreign Investment Promotion Agency, who will have the right to a voice and will act as executive secretary of the Committee of Ministers. In this role, he must draw up minutes of the meetings, will keep a register of them, the agreements adopted and the resolutions issued and will also fulfill the other functions required of him by the Committee of Ministers in the exercise of its powers.

Article 14

The Committee of Ministers may ask the Foreign Investment Promotion Agency to commission or carry out studies, analyses or evaluations for its compliance with its functions, such as:

  1. Studies to identify factors that may impact or are impacting the country's competitive profile.
  1. Periodic evaluations of the strategy for the development and promotion of foreign investment
  1. Diagnoses and evaluations of the impact of the programs and actions implemented in the framework of the strategy for the development and promotion of foreign investment.

Title IV

Section 1. Foreign Investment Promotion Agency

Article 15

Create the Foreign Investment Promotion Agency, henceforward the "Agency" as a decentralized public service, with its own legal status and assets, domiciled in the city of Santiago and reporting to the President of the Republic through the Ministry of Economy, Development and Tourism.

The Agency will be subject to the Civil Service System, established in Title VI of Law N° 19.882.

The Agency will promote and attract the entry of all types of capital and investment from overseas, regardless of its amount, in accordance with the powers and responsibilities indicated in this law. In the exercise of these powers and responsibilities, it must establish the mechanisms of coordination required of it by the Committee of Ministers and that are necessary for implementation of the promotion strategy, ensuring the consistency of the actions for the development and promotion of investment taken by regional governments.

For all legal purposes, the Agency will be the successor and legal continuation of the Foreign Investment Committee created under Title III of Decree with Force of Law Nº 523 of 1993, issued by the Ministry of Economy, Development and Reconstruction, which establishes the rewritten, coordinated and systematized text of Decree Law N° 600 of 1974. As a result, all mentions of this institution in general or special laws will be understood to refer to the Foreign Investment Promotion Agency.

Article 16

The Agency will be responsible for the promotion of foreign investment in Chile. In order to fulfill this objective, it will have the following functions and powers:

1. Implement the promotion strategy through measures and actions to promote foreign investment in Chile. These actions and measures must be regularly evaluated and approved by the Committee of Ministers in accordance with the terms of Article 12. In the framework of the measures defined by the Committee, the Agency may:

a. Organize public or private missions of potential foreign investors to Chile and participate in them, promoting the advantages of foreign investment in Chile, and organize and participate in rounds of business meetings, fairs, seminars, conferences and missions to promote Chile in order to attract foreign investment, activities that may take place both in Chile and abroad.

b. Provide potential foreign investors with guidance and information about the market, legislation and the incentives applicable to their investment and inform them about other aspects relevant for their investment.

c. Carry out activities to retain and encourage the expansion and reinvestment of foreign investment materialized in the country in order to increase its impact on the local economy.

d. Collaborate with foreign investors in generating contacts and meetings with government bodies, business associations, businesspeople, suppliers, financial institutions, research centers and other actors that facilitate the entry of foreign investment to Chile.

e. Establish a Consultative Advisory Council formed by representatives of the public and private sectors, whose mission will be to advise the Director on the definition of medium and long-term objectives and to evaluate the activities, initiatives and efforts deployed by the Agency.

A representative of the Undersecretariat for Regional Development must have a permanent seat on the Consultative Advisory Council. Similarly, the President of the corresponding Regional Government will participate in meetings at which activities, initiatives or efforts related to that Region are analyzed.

f. Promote Chile as a destination for ivestment.

g. Any other activity that contributes to the promotion of foreign investment in Chile.

2. Act as the administrative body of th Committee of Ministers for which purpose it will receive and analyze the presentations made to it, generate the information and studies it requires and fulfill any other administrative function requested by the Committee.

3. Review requests for certification of the status of foreign investor and issue the corresponding certificates in accordance with the terms of Article 4.

4. Propose the foreign investment promotion strategy to the Committee of Ministers.

5. Contribute to the creation of a favorable climate for foreign investment in Chile and, in particular, identify obstacles to the materialization of foreign investment projects and report them to the competent authorities in order to progress in overcoming them.

6. Collect, record and systematize information and statistics about foreign investment. To this end, it may require that public and private bodies as well as foreign investors themselves present the information necessary for fulfillment of this function.

To this same end, the Agency must use the macroeconomic statistics on foreign investment that are compiled and published by the Central Bank of Chile and, for this purpose, may sign collaboration or other agreements with this institution that guarantee due and effective coordination in this sphere.

7. Report annually to the Committee of Ministers on progress in fulfillment of the promotion strategy.

Article 17

The Agency's overall, technical and administrative management will be the responsibility of the "Director", who will be appointed by the President of the Republic in accordance with the norms of the Civil Service System contained in Title VI of Law N° 19.882.

The Director will have the following powers and responsibilities:

  1. Propose to the Committee of Ministers, for its approval, the measures and actions for the promotion of foreign investment that will be implemented by the Agency.
  1. Prepare the report referred to in 7) of the previous Article.
  1. Fulfill and ensure fulfillment of the agreements and instructions of the Committee of Ministers and carry out the actions and functions which, in the exercise of its powers, the Committee delegates to the Director.
  1. Appoint the members of the Consultative Advisory Council referred to in e) of n° 1 of the previous Article and determine the form in which it will meet.
  1. Select and hire personnel and put an end to their services in accordance with the corresponding statutory norms.
  1. Sign agreements and carry out the acts necessary for fulfillment of the Agency's purposes.
  1. Acquire, sell and administer all types of goods and carry out or sign any act or contract that is directly or indirectly conducive to the fulfillment of the Agency's purpose and functions, both in Chile and abroad.
  1. Prepare the Agency's draft annual budget, implement the budget which is definitively approved and propose the modifications that may be required during its implementation.
  1. Delegate part of his functions, powers and responsibilities to the Agency's employees.
  1. Require that State bodies provide the information and records, related to their specific areas of responsibilities, that the Director deems necessary.
  1. Represent the Agency judicially and extrajudicially and grant lawyers, qualified to exercise their profession, even when not employees of the Agency, the powers of attorney contained in both paragraphs of Article 7 of the Code of Civil Procedures.
  1. Exercise the other functions or powers conferred by the law.

Section 2. Norms relating to personnel

Article 18

The Agency's personnel will be subject to the terms of Law Nº 18.834 on the Administrative Statute whose rewritten, coordinated and systematized text was established by Decree with Force of Law Nº 29 of 2004, issued by the Ministry of Finance. In the case of remunerations, these will be set and modified in accordance with the procedure established in Article 9 of Decree Law N° 1.953 of 1977, issued by the Ministry of Finance.

Section 3. Assets

Article 19

The Agency's assets will be formed by:

  1. The resources assigned to it annually by the Public Sector Budget Law and other general or special laws.
  1. The movable and immovable goods, tangible or intangible, that are transferred to it or it acquires in any manner.
  1. The contributions of international cooperation it receives in any manner for the fulfillment of its objectives.
  1. The inheritances and legacies it accepts, which must be with benefit of inventory. The said allocations will be exempt from tax, liens and any other payment to which they are liable.

Title V. Amendments to other norms

Article 20

Replace as from 1 January 2016 or this law's entry into force if it occurs at a later date, n° 10 of Letter B of Article 12 of Decree Law N° 825 of 1974 with the following:

"10.- Investors, whether established, resident or domiciled in the country or those who qualify as foreign investors and companies receiving foreign investment, in accordance with the terms of Article 3 of the framework law for foreign direct investment in Chile, as regards the capital goods imported that are used for development, exploration or exploitation in Chile of mining, industrial, forestry, energy, infrastructure, telecommunications and research or technological, medical or scientific development projects, among others, that imply investments for an amount of or more than five million US dollars.

The exemption to which this number refers will apply only to the import of capital goods for investment projects that, due to the characteristics of their development, generate income liable to, not liable to or exempt from the tax established in Title II of this law after, at least, twelve months from the date of the import into the country or acquisition in Chile of the first capital goods whose exemption from Value Added Tax is requested.

In order to obtain the exemption referred to in this number, the investor must present a request to the Ministry of Finance so that it verifies and certifies correct compliance with the requirements established in this number. Foreign investors must accompany this request with the certificate of foreign investor referred to in Article 4 of the framework law for foreign direct investment in Chile.

The Ministry of Finance must rule on the said request within sixty calendar days as from the date of receiving all the information necessary to verify compliance with the requirements indicated. If it fails to do so within this period, the taxpayer's request will be understood to have been approved and the said Ministry must immediately proceed to issue the resolution granting the benefit, doing so within five working days as from the end of the aforementioned sixty days period.

If a new request for exemption is presented for capital goods for projects that are implemented by stages or whose purpose is to complement or expand an investment project for the initial stage of which exemption was granted, the investor must, in order for the Ministry of Finance to extend the exemption to the new capital goods, only present a copy of the resolution granting the original exemption and the information necessary to accredit that the new request corresponds to different stages of the same project or to complementary or expansion projects.

Empower the Ministry of Finance so that, through a supreme decree, it defines the characteristics of the capital goods and investment project referred to in this number as well as the manner of and procedure for presenting the information that must accompany the request for exemption referred to do in this number so as to permit its analysis.

The Ministry of Finance must send to the Internal Revenue Service a copy of the resolution granting the exemption and the information presented by the taxpayer within twenty calendar days as from the date of issue of the said resolution.

When, in the exercise of its inspection powers, the Internal Revenue Service determines that the exemption has been granted on the basis of incorrect documents or other information presented by the taxpayer, it must, after notifying the taxpayer in accordance with the terms of Article 63 of the Tax Code, determine the tax that would have been applicable had the exemption not been granted, with the indexed adjustments and penal interests established in Article 53 of the same code. In this latter case, the sanctions established in n° 20 of its Article 97 may be imposed.

The taxpayer may appeal against the determination of the tax owing and the fine levied in accordance with the general procedure established in Book III of the Tax Code. The Value Added Tax paid by the taxpayer as a result of the lifting of the exemption established in this number, will, providing compliance with the general requirements established by this law, serve as a credit for the Value Added Tax of the period in which the payment is made.

A taxpayer who has maliciously obtained the exemption referred to in this number, through the presentation of incorrect, incomplete or false documents or other information, will receive the sanctions envisaged in the second paragraph of n° 4 of Article 97 of the Tax Code, notwithstanding payment of the tax evaded with the corresponding penal interest and fines which, once paid, will not serve as a credit for Value Added Tax.".

Title VI. Other terms

Article 21

Regional governments may, using their own resources, organize units for the development and promotion of foreign investment.

Transitory terms

First Article

Foreign investors and companies receiving foreign investment who have in force a foreign investment contract signed with the State of Chile in accordance with the terms of Decree with Force of Law N° 523 of 1993, issued by the Ministry of Economy, Development and Reconstruction, which establishes the rewritten, coordinated and systematized text of Decree Law N° 600 of 1974, will conserve all the rights and obligations envisaged in the said contracts, providing they were signed before 1 January 2016 or the date on which this law comes into force if this occurs at a later date. The same protection will also apply to contracts signed under the terms of the fourth transitory article of Law N° 20.469, providing they were signed within the period established by this norm.

For the purposes of the terms of this Article, once the Foreign Investment Promotion Agency starts operation, it will maintain all the functions that corresponded to the Executive Vice-Presidency of the Foreign Investment Committee under Article 15 of the Decree with Force of Law indicated in the preceding paragraph.

Second Article

Notwithstanding the terms of the second paragaph of Article 9 of Law N° 20.780, as from 1 Januar 2016 or the date on which this law comes into force if this occurs at a later date, and for a maximum period of four years as from the first of these events to occur, foreign investors, as defined under the terms of Article 3 of this law, may apply for foreign investment authorizations under the terms of Article 3 of Decree with Force of Law N° 523 of 1993, issued by the Ministry of Economy, Development and Reconstruction, which establishes the rewritten, coordinated and systematized text of Decree Law N° 600 of 1974. These applications must be filed before the Executive Vice-Presidency of the Foreign Investment Committee or its legal successor, depending on the case. Similarly, these authorities will be responsible for signing the corresponding contracts in representation of the State of Chile.

Foreign investors who exercise the option referred to in the preceding paragraph may only sign the corresponding contracts within the same periods referred to in the said paragraph. Under these contracts, they will be subject to the requirements, enjoy the rights and have the obligations referred to in Articles 2, 7 and 11ter of the said decree law.

In any case, the total income tax rate to which they will be liable, under the terms of the first paragraph of Article 7 of Decree with Force of Law N° 523 of 1993, issued by the Ministry of Economy, Development and Reconstruction, which establishes the rewritten, coordinated and systematized text of Decree Law N° 600 of 1974, and with respect to which they will be entitled to invariability, will be 44.45% in all the cases referred to in the said terms.

Notwithstanding the terms of the preceding paragraphs, foreign investors will be able to access the regime applicable to foreign direct investment envisaged in Section 2 of Title I of this law.

Third Article

Empower the President of the Republic to establish, within the period of one year as from the publication of this law, in one or more decrees with force of law issued through the Ministry of Economy, Development and Tourism and also signed by the Minister of Finance, the norms required to regulate the following matters:

1. Determine the personnel to be hired by the Foreign Investment Promotion Agency.

In the exercise of this power, the President of the Republic will issue the norms required for the proper structuring and functioning of the personnel established and, in particular, may determine transitory norms for the application of variable remunerations; the number of posts for each level and type of contract; the requirements for the hiring and promotion of personnel for these posts; and their titles and hierarchical level, for the purposes of the application of the terms of Article 8 of Law Nº 18.834, whose rewritten, coordinated and systematized text was established by Decree with Force of Law Nº 29 of 2004, issued by the Ministry of Finance, and Title VI of Law N° 19.882. In addition, the President of the Republic will establish the norms for the distribution of the personnel by level, which may include employees who are transferred from the Foreign Investment Committee.

2. Determine, without a solution of continuity, the transfer of employees with indefinite and fixed-term contracts from the Foreign Investment Committee to the Foreign Investment Promotion Agency. The decree with force of law establishing the personnel of the Foreign Investment Promotion Agency will also determine the transfer and the number of employees who will be transferred by level and legal status and may also establish the period of time over which this process will take place. The identification of the personnel transferred and their new position will, in the corresponding cases, be implemented through decrees issued using the formula "By order of the President of the Republic" through the Ministry of Economy, Development and Tourism. The transfer of employees with indefinite and fixed-term contracts, and the posts they occupy, will maintain the level they had at the date of the transfer.

3. The requirements for the posts defined in the exercise of the power indicated in n° 1 of this Article will not be required for the purposes of the new position of employees with a permanent contract at the date of entry into force of the corresponding decree or decrees with force of law. Similarly, the requirements established in the corresponding decrees with force of law will not be required for employees with a fixed-term contract at the date of entry into force of the corresponding decree or decrees with force of law or whose contracts are extended on the same conditions.

4. Determine the date of entry into force of the amendments referred to in n° 1 of this Article. Similarly, determine the date of the start of the activities of the Foreign Investment Promotion Agency and its maximum number of personnel.

5. Transfer the resources and goods of the Foreign Investment Committee to the Foreign Investment Promotion Agency.

6 .Use of the powers indicated in this Article will be subject to the following restrictions, with respect to the personnel it affects:

a. It may not have as a consequence a change in an employee's habitual place of residence to outside the region in which the employee is providing services, except with the employee's consent.

b. It may not have as a consequence or be considered grounds for ending the services provided, the elimination of posts or the end of the working relationship.

c. It may not result in a drop in remuneration or the modification of social security rights. Any difference in remunerations must be paid through a supplementary payroll which will be absorbed by future improvements in remunerations that correspond to the employees, except those arising from general adjustments awarded to public sector employees. Social security payments on this supplementary payroll will be the same as on the remunerations for which it compensates. It will also be subject to the general adjustment indicated above.

d. Employees who are given a new position and transferred will maintain their years-of-service bonus as well as the time used to calculate it.

Fourth Article

The President of the Republic will appoint, temporarily and provisionally, in accordance with Article 59 of Law Nº 19.882, the Director of the Foreign Investment Promotion Agency, who will take office immediately and while the corresponding selection process established by said law for Civil Service System posts takes place.

Fifth Article

Until the resolution establishing the remunerations of the personnel of the Foreign Investment Promotion Agency is issued, in accordance with the terms of Article 18 of this law, that issued for the Foreign Investment Committee under Article 9 of Decree Law N° 1.953 of 1977 will remain in force.

Sixth Article

The President of the Republic will, in a decree issued through the Ministry of Finance, establish the first budget of the Foreign Investment Promotion Agency and will transfer to it the funds of the body that transfers personnel or goods and may for this purpose create, eliminate or modify budget chapters, allocations and items where appropriate. A copy of the said decree will be sent to the Finance Commissions of the Chamber of Deputies and the Senate.

Seventh Article

The increased fiscal spending arising from the application of this law during the budget year in which it enters into force will be financed out of the budget of the Foreign Investment Committee and, if this is insufficient, out of the resources allocated to the Public Treasury under the Public Sector Budget Law.

In subsequent years, the increased spending will be financed out of the resources envisaged in the corresponding public sector budget laws.".".

And as I have approved and sanctioned it, let it be promulgated and implemented as Law of the Republic.
