Amends the Companies Law to streamline and simplify business procedures

On 26 July 2022, the Parliament of Romania passed the Law no.265, which significantly amended the Romanian Companies law. Among the key changes are the following:
- The simplification of the regulations applicable to incorporation and the operation of companies;
- The digitalization of communication with public authorities;
- Sets up a central electronic platform where information on individuals and companies registered in the Trade Registry will be available to the public;
- Merger and spin-off operations must be approved by the registrars of the Romanian Trade Registry, and are no longer subject to court proceedings.
The law entered into force on 26 November 2022.
