Introduces prior approval requirement for foreign investors’ equity transfers

On 31 March 2025, Nepal amended the Foreign Investment and Technology Transfer Act 2075 (2019) (“FITTA”)  through the Act Relating to Improving Economic and Business Environment and Enhancing Investment 2081 (2025). The amendment introduced a new requirement for prior approval from the Department of Industry (DOI) before foreign investors may sell or transfer all or part of their equity to domestic parties. Previously, foreign investors were permitted to transfer equity upon completion of the transaction, provided they notified and registered the change with the DOI or the Investment Board within 30 days. The amended provision entered into force immediately upon its publication in the official gazette of Nepal.
