Revises its guidelines for the screening of foreign investment

30 Jul 2025

On 30 July 2025, France issued revised guidelines for the screening regime of foreign investments for national security, replacing the previous 2022 version. This update incorporates recent regulatory changes and reflects the evolving practice of the Bureau for the Control of Foreign Investments (CIEF).

The key clarifications specify that foreign investment funds are considered foreign investors regardless of having a French management, and that controlled investments now explicitly include the acquisition of French-registered entities, including through the indirect purchase of its foreign parent company. The guidelines also reflect legislative changes to the list of sensitive sectors—adding photonics and elaborating on critical raw materials—while emphasizing the need for detailed target descriptions and confirming the mandatory use of the electronic filing platform.
